         <p>Wendel announced on April 23, 2021 that it had partnered with the Deconinck family to form Tarkett Participation to support Tarkett\u2019s growth. The Deconinck family will maintain a controlling stake in<br \/>\nthe company. Wendel is represented by an observer on Tarkett\u2019s Board of Directors and has governance rights commensurate with the level of its minority shareholding.<\/p>\n<p>On October 26, 2021, Tarkett Participation announced that it held 90.32% of Tarkett&#8217;s capital. Wendel has invested a total of \u20ac222 million for a total stake of 25.7% of Tarkett Participation&#8217;s capital, representing a 23.2% ownership of Tarkett.<\/p>\n<p>Tarkett has many strategic assets:<\/p>\n<ul>\n<li>a leading position;<\/li>\n<li>balanced geographical exposure and diversified market segments;<\/li>\n<li>a product range among the widest in the flooring and sports surface industry;<\/li>\n<li>long-term relationships with customers;<\/li>\n<li>special long-term relationships with fitters and contractors;<\/li>\n<li>a \u201cGloCal\u201d positioning;<\/li>\n<li>an eco-innovation pioneer; and<\/li>\n<li>an international and experienced management team.<\/li>\n<\/ul>\n<p>On February 20, 2025, Tarkett Participation, Tarkett&#8217;s controlling shareholder, announced its intention to file a public buy\u2011out offer, followed by a squeeze\u2011out, on the Tarkett shares it did not hold at an initial price of \u20ac16 per share. At the end of the procedure, the offer price was raised to \u20ac17 per share, a price approved by the securities regulator, Autorit\u00e9 des March\u00e9s Financiers. The offer was financed by Tarkett Participation&#8217;s own funds and available credit lines, notably under its existing credit documentation. The transaction led to the delisting of Tarkett shares from Euronext Paris in the fourth quarter of 2025.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n
