Holding Wendel shares

In France, shares in a company may be held in one of the three forms presented below.

Bearer

Your shares are registered in your securities account or your Equity Savings Plan (PEA), opened with your financial intermediary (your bank branch). The latter is responsible for maintaining and holding your account. Your identity is not known to Wendel.

Advantages

  • Single securities account.
  • Easy trading.

Disadvantages

  • Custody fees.
  • Certificate of participation required to attend general meetings of shareholders.

Administered registered

Your shares are registered in your securities account or your Equity Savings Plan (PEA), opened with your financial intermediary (your bank branch). The latter is responsible for maintaining and holding your account.

Advantages

  • Single securities account.
  • No certificate of participation to attend and/or vote at general meetings of shareholders.
  • Double voting rights after holding for two years.

Disadvantages

  • Custody fees.
  • No immediate sale on the stock exchange (bearer conversion period).

Direct registered

Your shares are held in a securities account opened with SGSS(1) and entered in your name in the register maintained by Wendel, which manages them.

Advantages

  • No custody fees and certain routine management fees (fees related to dividend payments, securities transactions, gifts, inheritance, and pledges).
  • No certificate of participation to attend general meetings of shareholders.
  • Double voting rights after holding for two years.
  • Buy and sell on the stock exchange with reduced brokerage fees.

Disadvantages

  • No single securities account.
  • More difficult placement of registered securities in an Equity Savings Plan (PEA).
  • No immediate sale on the stock exchange (bearer conversion period).

 

How do I make a direct registered transfer?

If you already own “bearer” or “administered registered” securities and wish to transfer them to pure registered form, you must submit a request to your financial intermediary, who will carry out the conversion. The time required to register your securities in pure registered form depends mainly on how quickly your financial intermediary executes the conversion order you have sent them.
